End User License Agreement

Font software is licensed, not sold. This is the Agreement issued with every retail license and trial. Categories and checkout options are described on Font Licenses. Website use is the Terms of Service.

This End User License Agreement (the "Agreement") is entered into by and between trulytype LLC, a California limited liability company with its principal place of business in Los Angeles, California ("Licensor," "trulytype LLC," "we"), and the person or entity identified on the Purchase Record issued at checkout or, for a trial, the email that accepted this Agreement ("Licensee," "you"). This Agreement governs Licensee's access to and use of the Font Software. BY DOWNLOADING, INSTALLING, COPYING, OR OTHERWISE USING THE FONT SOFTWARE, LICENSEE ACKNOWLEDGES THAT LICENSEE HAS READ THIS AGREEMENT, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS. IF LICENSEE DOES NOT AGREE, LICENSEE SHALL NOT DOWNLOAD, INSTALL, OR USE THE FONT SOFTWARE AND SHALL DESTROY ALL COPIES IN LICENSEE'S POSSESSION OR CONTROL.
The Purchase Record is the order confirmation, invoice, and license code issued at checkout. It identifies the Font Software, files, Licensed Unit (category, option, and quantity), and term. A trial download has no Purchase Record; the grant is Section 13 only. In the event of a conflict between this Agreement and the Purchase Record with respect to the scope of the Licensed Unit, the Purchase Record shall control solely as to quantity, category, and term. In all other respects, this Agreement shall control.
Website browsing is governed by the Terms of Service. Checkout, delivery, and refunds are described on Payments & Refunds. How trulytype LLC collects information is in the Privacy Policy. Those documents do not grant font rights.
01. Definitions
"Font Software" means the digitally encoded, machine-readable typeface software, outline data, hinting, metrics, kerning, bitmaps, and related files furnished by Licensor (including OTF and WOFF2 files), together with any updates, upgrades, documentation, and copies thereof. The typeface design embodied in the Font Software and the Font Software itself are original works of authorship in which all right, title, and interest are owned by Licensor.
"User" means any natural person who accesses or uses the Font Software on a Device.
"Device" means any computer, server, virtual machine, container, or other physical, virtual, or cloud-based system capable of installing, executing, or otherwise using the Font Software.
"Licensed Unit" means the category, option, quantity, and other limitations specified on the Purchase Record. Retail categories are Desktop, Web, App, Logo, Broadcast, E-book, Merchandise, and Custom Usage. Selecting "None" for a category means that category is not licensed.
"Purchase Record" means this Agreement together with the order confirmation, invoice, and license code issued at the time of purchase, which together identify the Font Software and the Licensed Unit.
"Digital Product" means any digital or interactive product distributed or made available to third parties, including without limitation websites, applications, games, eBooks, software, and similar works.
"Licensor" means trulytype LLC.
02. License Grant
The Font Software is licensed, not sold. trulytype LLC owns and retains all copyright, trademark, design, and other intellectual property rights in the typeface and the Font Software. You do not acquire ownership of the fonts, the design, the files, or any copy of them. No title, ownership interest, or intellectual property right is transferred to Licensee by this Agreement or by any delivery of the Font Software. There are no implied licenses.
In consideration of the fees paid by Licensee and of Licensee's covenants herein, trulytype LLC hereby grants to Licensee a limited, revocable (as provided in Section 20), non-exclusive, non-transferable (except as provided in Section 16), non-sublicensable license to use the Font Software solely for the Licensed Unit set forth on the Purchase Record, for Licensee's internal personal or business use, and solely in accordance with this Agreement. All rights not expressly granted herein are reserved by trulytype LLC and are withheld.
Licensee may purchase more than one Licensed Unit in a single order (for example Desktop and Web). Each Licensed Unit is independent. A Desktop License does not include Web, App, Logo, Broadcast, E-book, Merchandise, or Custom Usage. The same is true of every other category. Uses not on the Purchase Record are not granted.
03. Licensed Units in General
The option named on the Purchase Record is the only option granted for that category. A higher tier is not implied. Affiliates, contractors, agencies, and printers may use the Font Software only as Users under Licensee's Licensed Unit, solely on work for Licensee, and shall not retain the Font Software after that work ends.
Output created with a valid Licensed Unit (static images, printed matter, raster or outlined artwork) may be distributed in the ordinary course of that Licensed Unit. That distribution is not a license of the Font Software itself. Recipients may not extract, install, or reuse the Font Software.
04. Desktop License
A Desktop License grants installation of the Font Software on Devices owned or controlled by Licensee, and use of the Font Software to create static images, printed matter, presentations, and documents. Embedding of the Font Software is permitted solely in secure, non-editable document formats that reasonably prevent extraction, copying, or editing of the font files. Except as expressly set forth in this Section 04, no other embedding or distribution is granted. A Desktop License does not grant website embedding, application embedding, logo or identity use, broadcast, e-book embedding, merchandise production, or any right to modify the Font Software.
Single User: one (1) User may install the Font Software on Devices used by that User.
Small Team (5 users): up to five (5) Users at one organization may install the Font Software on Devices used by those Users.
Large Team (25 users): up to twenty-five (25) Users at one organization may install the Font Software on Devices used by those Users.
Any User or Device in excess of the Licensed Unit requires the prior purchase of an additional Desktop License.
05. Web License
A Web License grants embedding of the Font Software, solely by means of @font-face or an equivalent cascading style sheet mechanism, on websites and web applications within the Licensed Unit. Visitors may view typographic output. Visitors are not licensed to download, install, copy, or otherwise receive a copy of the Font Software. Licensee may subset the Font Software for the licensed domains. Self-hosting and a content delivery network are permitted only if Licensee controls the origin and access is limited to the licensed domains. Licensee shall not publish the Font Software on a public font host, repository, or marketplace.
Single Domain: one (1) live domain, including a customary staging host for that domain.
Multiple Domains: several related domains owned or controlled by the same Licensee (for example a primary domain, a country-code domain, and a staging host).
Unlimited Domains: unlimited websites owned or controlled by the same Licensee or brand identified on the Purchase Record.
A Web License does not grant desktop installation, application embedding, logo use, or any other Licensed Unit.
06. App License
An App License grants embedding of the Font Software in applications within the Licensed Unit. End users of those applications may view typographic output. Those end users are not licensed to download, install, copy, or otherwise receive a copy of the Font Software. The Font Software shall be embedded so that it cannot reasonably be extracted as a standalone font file.
Single App: one (1) application, whether iOS, Android, macOS, Windows, or an equivalent installable client.
Multiple Apps: more than one application from the same brand or product family identified on the Purchase Record.
App Store Distribution: public distribution of the licensed application(s) through an app store or similar channel.
An App License does not grant website embedding, desktop installation for design work, or logo use.
07. Logo License
A Logo License grants use of the Font Software solely in the logo and identity work covered by the Licensed Unit. This licenses the use of the typeface in that work. It does not license a change to the Font Software. Desktop installation, website embedding, application embedding, and any other use each require a separate Licensed Unit.
Single Logo: one (1) wordmark or logotype.
Brand Identity: a brand system for one brand — the wordmark plus related identity assets for that brand.
Corporate Branding: use of the typeface in or across a corporate identity, including as a primary text face or in a wordmark.
08. Broadcast License
A Broadcast License grants use of the Font Software in video, television, streaming, advertising, motion graphics, and motion picture work solely within the Licensed Unit. Reach is the geographic or distribution scope stated on the Purchase Record.
Local Broadcast: work shown in a local or regional market.
National Broadcast: work shown nationwide in one country.
International Broadcast: work shown worldwide, including film and streaming.
A Broadcast License does not grant desktop installation for other design work, website embedding, or logo use, except to the extent those uses appear inside the licensed motion work.
09. E-book License
An E-book License grants embedding of the Font Software in digital publications within the Licensed Unit. Readers may view typographic output. Readers are not licensed to download, install, copy, or otherwise receive a copy of the Font Software.
Single Publication: one (1) book, report, or digital title.
Series (up to 10 books): a related series of up to ten (10) titles.
Publisher License: embedding across the digital titles of the publisher identified on the Purchase Record.
10. Merchandise License
A Merchandise License grants application of output generated by the Font Software to physical goods solely within the Licensed Unit. This grant does not include any right to distribute the Font Software itself.
Limited Run (1,000 units): up to one thousand (1,000) units.
Production Run (10,000 units): up to ten thousand (10,000) units.
Mass Production: unlimited production of physical goods under the Purchase Record.
11. Custom Usage
Custom Usage on a Purchase Record is a commission to change or extend the Font Software, scoped in a writing from trulytype LLC. Everyday Desktop, Web, Logo, or other use is not included and requires a separate Licensed Unit.
Font Customization: limited commissioned glyph or style work, as scoped in writing.
Brand Customization: commissioned brand-specific work on the Font Software, as scoped in writing.
Complete Customization: a full commissioned typeface or recut, as scoped in writing.
Unless the writing says otherwise, trulytype LLC retains all copyright in the commissioned work and grants Licensee a license consistent with this Agreement and that writing.
12. Term and Duration
Unless the Purchase Record states a shorter term, the license is perpetual for the Licensed Unit purchased: Licensee may use the Font Software forever within that scope, subject to this Agreement.
A 1 Year term lasts three hundred sixty-five (365) days from the Purchase Record date and may be renewed by a new purchase.
A 90 Days term lasts ninety (90) days from the Purchase Record date and may be renewed by a new purchase.
When a time-limited term expires, the license ends. Licensee shall cease use and destroy copies as provided in Section 20.
13. Trial Font Software
Trial files are furnished as WOFF2 (or as otherwise delivered) solely to test the Font Software in mockups, pitches, and internal work. A trial is not a retail Licensed Unit. Trial use shall not appear in any public, client-facing, or commercial work except as a temporary unpublished mockup.
Licensee shall not convert, modify, redistribute, or embed trial Font Software in a live website, application, broadcast, publication, or merchandise. When the work becomes real, Licensee shall purchase the applicable Licensed Unit. trulytype LLC may revoke a trial at any time.
14. Installation, Copies, and Records
Licensee shall use the Font Software only within the Licensed Unit and only on Devices that Licensee owns or controls. Licensee shall implement reasonable administrative, technical, and physical safeguards to prevent unauthorized access, copying, disclosure, or distribution of the Font Software. Licensee may make one (1) backup copy of the Font Software solely for archival purposes, provided that such copy remains in Licensee's possession and is not used concurrently with the production copy. Licensee shall keep a written record of the Devices on which the Font Software is installed and shall produce such record to Licensor upon reasonable request.
15. Restrictions
Except as expressly licensed on the Purchase Record or in a separate writing signed by trulytype LLC, Licensee shall not, and shall not permit any third party to, directly or indirectly: (a) use the Font Software in any Digital Product, including without limitation any website, application, game, eBook, or other software, unless that use is the Licensed Unit purchased; (b) modify, adapt, translate, reverse engineer, decompile, disassemble, convert, or create derivative font data, outlines, or kerning from the Font Software, or any portion thereof, for any purpose, including sale or distribution; (c) distribute, rent, lease, sublicense, sell, loan, assign, or otherwise transfer or share the Font Software, or any copy thereof, except as expressly permitted in Section 16; (d) upload, host, or otherwise make the Font Software available on any public repository, marketplace, server, or shared folder accessible by any person who is not a licensed User under the Licensed Unit; (e) remove, obscure, or alter any copyright, trademark, or other proprietary notice; or (f) use the Font Software, or any output or data derived therefrom, to train, develop, or improve any artificial intelligence, machine learning, or similar model or dataset.
16. Transfers
Licensee shall not rent, lease, loan, timeshare, or otherwise share the Font Software. Licensee may permanently assign this license, in its entirety and not in part, solely if: (a) Licensee transfers the entire Licensed Unit and all copies of the Font Software; (b) Licensee retains no copy, in whole or in part, in any form or medium; (c) the transferee agrees in a writing delivered to Licensor to be bound by this Agreement; and (d) trulytype LLC is notified in writing at mail@trulytype.com within seven (7) days after the transfer, identifying the transferee and the license code. Any attempted assignment or transfer in violation of this Section 16 is void ab initio.
17. Audits
trulytype LLC or its designated auditor may, upon not less than ten (10) days' prior written notice and during Licensee's normal business hours, audit Licensee's use of the Font Software and related records solely to verify compliance with this Agreement. Licensee shall reasonably cooperate with any such audit. If the audit discloses material non-compliance, Licensee shall promptly pay all unpaid license fees at Licensor's then-current rates, together with the reasonable costs of the audit, and Licensor may exercise any other right or remedy available at law or in equity.
18. Intellectual Property and Indemnity
The Font Software and the typeface design are protected by the copyright, trademark, design, and other intellectual property laws of the United States and other jurisdictions, and by international treaties. Title, copyright, and all other intellectual property remain with trulytype LLC. Licensee acquires no right, title, or interest in or to the Font Software, the typeface design, or any copy thereof, other than the limited license expressly granted herein. This Agreement does not assign, sell, exhaust, or waive any of trulytype LLC's rights. Any unauthorized copy, adaptation, or derivative of the Font Software, and any intellectual property therein, shall be and remain the sole property of Licensor.
Licensee may use Licensor's trademarks solely to identify printed or displayed output created with the Font Software, and not in any manner that is likely to cause confusion as to source or sponsorship. Licensee shall not register, or attempt to register, any trademark, domain name, or similar designation comprising or confusingly similar to Licensor's marks or the name of the Font Software.
Licensee shall indemnify, defend, and hold harmless trulytype LLC and its officers, members, and agents from and against any claim, loss, damage, liability, and reasonable attorneys' fees arising out of or relating to Licensee's use of the Font Software, any breach of this Agreement, or any output created by Licensee.
19. Updates and Support
If trulytype LLC issues a new cut of a family Licensee licensed, Licensor may send it to the checkout email. This Agreement does not set a schedule for updates. Support for licensed files, checkout, and this Agreement is available at mail@trulytype.com.
20. Termination
This Agreement and the license granted hereunder shall commence on the date Licensee first downloads, installs, or uses the Font Software and shall continue for the term stated on the Purchase Record (or, for a trial, until revoked), unless earlier terminated. This Agreement terminates automatically, without notice, upon any breach by Licensee. Licensor may also terminate this Agreement immediately upon written notice if Licensee becomes insolvent or ceases to do business. Upon termination or expiration, the license granted herein shall immediately terminate, Licensee shall cease all use of the Font Software, and Licensee shall destroy all copies thereof in Licensee's possession or control and certify such destruction in writing upon Licensor's request. Fees paid are earned when paid and are not refundable by reason of termination for Licensee's breach. Sections 15, 17, 18, 20, 21, 22, and 23 shall survive termination or expiration. Termination does not limit trulytype LLC's legal or equitable remedies, including without limitation injunctive relief. Licensee acknowledges that unauthorized use of the Font Software would cause irreparable harm for which monetary damages would be an inadequate remedy, and Licensor shall be entitled to seek injunctive or other equitable relief without the necessity of proving actual damages or posting a bond.
21. Disclaimer and Limitation of Liability
THE FONT SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRULYTYPE LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TRULYTYPE LLC DOES NOT WARRANT THAT THE FONT SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE. TRULYTYPE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRULYTYPE LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE FEES ACTUALLY PAID BY LICENSEE TO TRULYTYPE LLC FOR THE LICENSE GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
22. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. The parties hereby irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to venue in such courts, including any claim of forum non conveniens. EACH PARTY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF THIS AGREEMENT.
23. Notices, Assignment, and Entire Agreement
This Agreement, together with the Purchase Record, constitutes the entire agreement between the parties with respect to the Font Software and supersedes all prior or contemporaneous understandings, whether written or oral. This Agreement may be amended only by a writing signed by an authorized representative of trulytype LLC. If any provision of this Agreement is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect. The failure of Licensor to enforce any provision shall not constitute a waiver of that provision or of any other provision. Waiver of any breach shall not constitute waiver of any other or subsequent breach.
Licensee may not assign this Agreement except as provided in Section 16. Licensor may assign this Agreement without Licensee's consent. This Agreement shall bind and inure to the benefit of the parties and their permitted successors and assigns. There are no third-party beneficiaries. The headings in this Agreement are for convenience only and shall not affect interpretation. The English text controls. Notices to Licensor shall be sent to mail@trulytype.com.
